These Terms of Service ("Terms") govern your access to and use of our website located at www.kjacon.shop (the "Site") and any related services we provide, including computer systems design, systems integration, cloud solutions, cybersecurity, data analytics, and managed IT services (collectively, the "Services").
By accessing the Site or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access the Site or use the Services. These Terms constitute a legally binding agreement between you and K J A CONSTRUCTION LLC.
For the purposes of these Terms, the following definitions apply:
K J A CONSTRUCTION LLC provides professional computer systems design and related services. Our services include, but are not limited to: computer integrated systems design, enterprise systems architecture, systems integration, cloud platform architecture and migration, cybersecurity assessment and implementation, data engineering and analytics, and managed IT operations and support.
All Services are provided on a project-by-project or ongoing engagement basis as agreed between us and the client. Specific deliverables, timelines, fees, and responsibilities will be set forth in a separate written agreement, statement of work, or proposal. In the event of any conflict between these Terms and a signed service agreement, the signed service agreement shall prevail with respect to the specific services described therein.
All Content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the property of K J A CONSTRUCTION LLC or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.
Unless otherwise expressly stated, no part of the Site or its Content may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the prior written consent of K J A CONSTRUCTION LLC. You may not use any metatags or other "hidden text" utilizing our name or trademarks without our express written permission.
Any intellectual property, including software, code, designs, documentation, and deliverables created by K J A CONSTRUCTION LLC in the course of providing Services shall remain our property unless otherwise agreed in a written contract. Upon full payment of applicable fees, we grant the client a non-exclusive, non-transferable license to use deliverables for their intended business purposes, subject to these Terms.
Fees for our Services will be set forth in the applicable proposal, quotation, or service agreement. Unless otherwise specified, all fees are quoted in U.S. Dollars and are exclusive of any applicable taxes, duties, or levies, which shall be the responsibility of the client.
Payment terms, including invoicing schedules, due dates, and any deposits or milestone payments, will be specified in the applicable agreement. Late payments may be subject to interest charges at the maximum rate permitted by applicable law. We reserve the right to suspend or terminate Services in the event of non-payment or a material breach of payment obligations.
Each party agrees to maintain the confidentiality of the other party’s Confidential Information and to use it solely for the purpose of performing obligations under the applicable agreement. Neither party shall disclose Confidential Information to any third party without the prior written consent of the disclosing party, except to those employees, contractors, and advisors who need to know such information for legitimate business purposes and who are bound by confidentiality obligations.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is rightfully obtained by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party’s Confidential Information. This confidentiality obligation shall survive the termination of any agreement between us.
We warrant that the Services will be performed in a professional and workmanlike manner in accordance with industry standards and the specifications set forth in the applicable agreement. If any deliverable fails to conform to these warranties, we will, at our option, correct or re-perform the non-conforming work at no additional cost.
EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SITE AND ALL SERVICES, CONTENT, AND DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
To the maximum extent permitted by applicable law, in no event shall K J A CONSTRUCTION LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of data, loss of goodwill, business interruption, or cost of procurement of substitute goods or services, arising out of or in connection with the Site, Services, or these Terms, whether based on contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the aggregate liability of K J A CONSTRUCTION LLC for all claims arising out of or relating to the Services or these Terms shall not exceed the total fees paid by the client to us for the specific Services giving rise to the claim during the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless K J A CONSTRUCTION LLC, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual property or privacy rights; or (d) any content or data you submit, post, or transmit through or in connection with the Site or Services.
These Terms remain in effect while you access or use the Site or Services. We may terminate or suspend your access to the Site or Services at any time, with or without cause, with or without notice, effective immediately, including if we believe that you have violated these Terms or any applicable law.
For ongoing service engagements, either party may terminate the agreement upon written notice as specified in the applicable service agreement. Upon termination, you remain responsible for all fees accrued up to the date of termination, and the provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, confidentiality obligations, disclaimers, limitations of liability, and indemnification obligations.
These Terms and any disputes arising out of or relating to them, the Site, or the Services shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Crawford County, Ohio, for the resolution of any disputes arising out of or relating to these Terms, the Site, or the Services.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to review the terms and privacy policies of any third-party websites you visit.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms or any applicable service agreement if such failure or delay results from circumstances beyond that party’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action or regulation, pandemic or epidemic, fire, flood, earthquake, power failure, telecommunications or internet failure, or failure of third-party infrastructure or suppliers. The affected party shall use reasonable efforts to mitigate the effects of such circumstances and to resume performance as soon as practicable.
These Terms, together with any service agreements, proposals, and other documents expressly incorporated by reference, constitute the entire agreement between you and K J A CONSTRUCTION LLC regarding the Site and Services, and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
We reserve the right to modify or replace these Terms at any time. If we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and may provide additional notice on the Site.
